Terms of Service

1. Acceptance of Terms

By accessing or using the NYC API service ("Service") operated by Matchup Labs ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

These Terms apply to all users, whether you access the API directly, through an integration, or via our documentation and dashboard. By creating an account or generating an API key, you confirm that you have read, understood, and accepted these Terms.

2. Service Description

NYC API provides structured, programmatic access to New York City open data. We aggregate, normalize, and serve data from public sources — including property records, building violations, restaurant inspections, and venue permits — through RESTful API endpoints.

Our Service is designed for developers, AI agents, and applications that need reliable, well-structured access to NYC public datasets without the overhead of parsing raw Socrata/SODA feeds or scraping agency websites.

3. API Usage

Access to the API requires a valid API key, which is issued when you create an account. Your API key is unique to your account — do not share it publicly or embed it in client-side code. You are responsible for all activity that occurs under your key.

Each subscription plan includes a monthly allocation of API credits. Every API call consumes one or more credits depending on the endpoint and query complexity. Rate limits are enforced per plan to ensure fair usage and service stability.

If you suspect your key has been compromised, you can regenerate it at any time from your dashboard. Regenerating a key immediately invalidates the previous key.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. The following activities are prohibited:

  • Systematic scraping, crawling, or bulk downloading of data beyond your plan's rate limits and credit allocation.
  • Reselling raw, untransformed API responses as a competing data product. You may use our data within your own applications, reports, and services — but you may not simply re-package and resell it without meaningful transformation or added value.
  • Attempting to reverse-engineer, overload, or otherwise abuse the API infrastructure, including circumventing rate limits or authentication mechanisms.
  • Using the Service to harass, discriminate against, or cause harm to any individual or group.

We reserve the right to throttle, suspend, or terminate access for any account that violates these rules or degrades service quality for other users.

5. Payment & Billing

NYC API offers subscription plans billed on a monthly basis. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

API credits are allocated at the start of each billing cycle and reset monthly. Unused credits do not roll over. If you exceed your plan's credit allocation, additional requests will be rejected until your next billing cycle or until you upgrade your plan.

Refunds are not provided for partial months. You may cancel your subscription at any time through the billing portal on your dashboard, and your access will remain active until the end of your current billing period.

6. Data Accuracy

The data served through NYC API is sourced from NYC Open Data and other publicly available city agency systems, primarily via the Socrata Open Data API (SODA). We normalize and structure this data for developer convenience, but we do not independently verify its accuracy.

All data is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or timeliness of any data returned by the API. You should independently verify any data before making decisions based on it, especially for legal, financial, or compliance purposes.

7. Intellectual Property

The underlying NYC public data accessed through our API is in the public domain and is not owned by Matchup Labs. You are free to use this data in accordance with the City of New York's open data policies.

However, the API layer itself — including our endpoint design, data normalization logic, documentation, dashboard, branding, and all related software — is the intellectual property of Matchup Labs and is protected by applicable copyright and intellectual property laws. You may not copy, modify, or redistribute our API infrastructure or documentation without written permission.

8. Termination

We may suspend or revoke your API key and terminate your access to the Service at any time if we determine that you have violated these Terms, engaged in abusive behavior, or if continued access poses a risk to the Service or other users. We will make reasonable efforts to notify you before or promptly after taking such action.

You may cancel your account and stop using the Service at any time through the billing portal on your dashboard. Upon cancellation, your access will continue until the end of your current billing period, after which your API key will be deactivated.

9. Limitation of Liability

To the maximum extent permitted by law, Matchup Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, but is not limited to, damages for loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. The Service is provided for informational purposes and is not a substitute for professional legal, financial, or regulatory advice.

10. Changes to Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will notify you at least 30 days in advance via the email address associated with your account. Continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the updated Terms, you may cancel your account before they take effect.
